TERMS & CONDITIONS
Definitions
1. The “Buyer” means the organisation, person or persons who accepts a quotation from the Seller or whose order for the Goods is accepted by the Seller.
2. The “Seller” means Hugo Royer International Ltd.
3. “Conditions” means the conditions of sale set out in this document and any special and / or additional conditions agreed in writing by the Seller.
4 “Goods” means the goods which the Seller is to supply in accordance with these Conditions.
5. “HRI” means Hugo Royer International Ltd in any of the Seller’s literature or on its website as the case may be.
6. “Writing” includes FAX (facsimile transmission), Email and other comparable means of communication.
7. “including” and “in particular” shall be construed as not limiting any general words or expressions in conjunction with which either of those expressions is used.
General
1. The owner of this web site is Hugo Royer International Ltd whose trading address is 10, Lakeside Business Park, Swan Lane, Sandhurst, Berkshire GU47 9DN United Kingdom – Company Registration number 2947181. VAT GB644 2721 48.
2. Your contract for purchases made through this Site is with HRI.
3. You agree that e-mail can be used as a long-distance means of communication.
4. No contract for the sale of any product will subsist between you and HRI unless and until HRI accepts your order by way of an e-mail confirming that it has received payment in full for all the goods you have ordered. That acceptance will be deemed complete and will be deemed for all purposes to have been effectively communicated to you at the time HRI sends the e-mail to you (whether or not you receive that e-mail). This confirmation e-mail amounts to an acceptance by HRI of your offer to buy goods from HRI.
5. You must check that the details on this confirmatory e-mail are correct as soon as possible and you should print out and keep a copy of it.
6. HRI will not pass on your personal or credit or debit card details to any third party. They will be stored on a secure site and only retrieved for the purpose of dealing with the order specific to their provision and only used for that purpose.
7. You undertake that all details you provide to HRI for the purpose of ordering or purchasing goods are correct, that the credit or debit card you are using is your own and that there are sufficient funds to cover the cost of the order in full.
8. If there are any changes to the details supplied by you it is your responsibility to inform HRI as soon as possible.
10. All purchases are non-exchangeable, non-refundable and non-transferable. (see paragraph 12).
11. We action orders immediately on receipt and we can only accept alterations and cancellations before dispatch of the order by email to orders@royer.co.uk or by telephoning 01252 878811 before 2pm on working days. Please include your name, contact details and a brief outline of the order.
12. Providing that the goods supplied are in accordance with the order and are of merchantable quality, any exchange or return of goods will be entirely at the discretion of HRI and maybe subject to an appropriate cancellation charge.
13. Where goods are sold to a consumer (as defined by the Consumer Transactions [Restrictions on Statements] Order 1976) the statutory rights of the Buyer are not affected by these Conditions. Except in respect of death or personal injury caused by the Seller’s negligence, the Seller shall not be held responsible for any incompatibility issues or held liable to the Buyer by reason of any representation (unless fraudulent) or any implied warranty, condition, or other term or any duty at common law or under the express terms of the contract, for any indirect, special or consequential loss or damage, costs, expenses or other claims for compensation whatsoever (whether caused by negligence of the Seller, its employees or agents or otherwise) which arise out of or in connection with the supply of the Goods or their use or resale by the Buyer including, without limitation, losses or damages of the types listed below:
13.1 loss of profit; and / or
13.2 loss of anticipated savings;
13.3 loss of business and / or goods; and / or
13.4 loss of revenue; and / or
13.5 loss of contract; and / or
13.6 loss of goodwill; and / or
13.7 loss of use; and / or
13.8 loss and / or corruption of data and / or other information; and / or
13.9 Downtime.
The entire liability of the Seller under or in connection with the contract shall not exceed the price of the Goods, except as expressly provided in the Conditions.
14. HRI does not accept liability (except as specified below) for any errors and omissions and reserve the right to change information, prices, specifications and descriptions of listed goods, products and services at any time.
15. If an error is discovered in the website price of the goods that you have ordered, we will inform you as soon as possible and ask you whether you wish us to complete your order at the correct price. We shall be under no obligation to complete an order for any product at the listed price if that price was incorrect. We will give you the option of confirming the order at the correct price or, if you so choose, to amend or cancel the order.
16. HRI will always do its best to correct errors and omissions as soon as possible after being notified of them.
17. TO THE FULLEST EXTENT PERMITTED BY LAW, HRI IS PROVIDING THIS SITE AND ITS CONTENTS ON AN "AS IS" BASIS AND MAKES NO (AND EXPRESSLY DISCLAIMS ALL) REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THIS SITE OR THE INFORMATION, CONTENT, MATERIALS OR PRODUCTS INCLUDED IN THIS SITE INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN ADDITION, HRI L DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION ACCESSIBLE VIA THIS SITE IS ACCURATE, COMPLETE OR CURRENT.
18. In the unlikely event that you receive goods which were not what you ordered; which are damaged or defective; or are of a different quantity or quality to that stated on your order, HRI shall, at its own option, make good any shortage or non-delivery, replace or repair any damaged or defective goods, or refund to you the amount you paid for the goods in question PROVIDED THAT you notify HRI of the problem immediately on receipt of the goods.
19. The products sold on the Site are provided for trade use only. HRI do not accept liability for any indirect loss, consequential loss, loss of data, loss of income or profit, loss or damage to property and/or loss from claims of third parties arising out of the use of the Site or for any products or services purchased from HRI.
20. All electrical products are covered by a twelve month manufacturer's warranty. If your product develops a fault whilst under warranty, please contact HRI and we will advise you where to send it for repair. It is a "return to base" warranty therefore there will be a delivery charge to return the product to the relevant UK service centre.
Processing of Orders
21. Credit and Debit cards are debited only on completion of the order and prior to dispatch. All prices exclude sales taxes (VAT) -where applicable.
22. HRI aim to arrange shipment of all orders received before 2pm on the day of the order. If an item is unavailable, you will be advised when we process the order.
23. Delivery time will depend on the delivery method chosen. Goods will be sent to the address given by you in your order and stated in the Order Confirmation. N.B. Standard Mail is uninsured and at your risk, however we will automatically upgrade Standard Mail to Special Delivery (insured) for any order valued above £250 (before tax) at your expense.
24. Title to any product ordered will pass to you once HRI has received full payment for that product. Risk in any product ordered will pass at the time of dispatch.
25. If your delivery address is outside of UK, you may be subject to import duties and taxes, which are levied once a shipment reaches your country. Any such additional charges for customs clearance must be borne by you. You should note that customs policies vary widely from country to country; HRI advises each customer to contact their local customs office for further information.
26. International shipments are subject to opening and inspection by customs authorities.
27. We shall have no liability to you for any delay in the delivery of products ordered or any other matters to the extent that the delay is due to any event outside our reasonable control, including but not limited to acts of God, war, flood, fire, labour disputes, strikes, lock-outs, riots, civil commotion, malicious damage, explosion, governmental actions and any other similar events.
28. We shall have no liability (including liability for negligence) for the acts or omissions of telecommunications service providers or for failures of, or faults in their networks and equipment.
29. No waiver by us of any breach of these Terms shall be considered as a waiver of any subsequent breach of the same or any other provision.
30. You may not permit, create unauthorized framing of, or deep linking to, the Site or the creation of derivative works thereof from any other website under your management or control.
31. In these Terms, “Intellectual Property Rights” means patents, database rights, copyright, design rights (whether registered or unregistered), trade marks (whether registered or unregistered) and other similar rights, together with the right to apply for the protection of any such rights. All Intellectual Property Rights in the Site shall be owned by us absolutely.
32. Subject to the licence granted to you to use the Site, HRI reserves all rights, title and interest in its Intellectual Property Rights in the Site.
33. It is a crime to use a false name or a known invalid credit card to order. Anyone caught willfully entering an erroneous or fictitious order will be prosecuted to the fullest extent of the law.
34. HRI reserve the right to amend these Terms from time to time, and to place a new version on the Site at any time and without notice. All purchases from the date that the amended terms are placed on the website will be governed by the new terms. Your continued use of the Site following any changes will constitute your acceptance of such changes. If you do not agree to any changes then your only remedy will be to cease using the Site.
35. These Terms supersede any and all other conditions, understandings, commitments, agreements or representations (except fraudulent misrepresentations) relating to your purchase, whether oral or in writing, and contain the entire agreement between HRI and you relating to your purchase. HRI advises that you should print off and keep a copy of these terms and conditions once your order has been accepted by HRI. You are advised to read (and are responsible for reading) fully all information on this website.
36. If any provision of these Terms shall be held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the remaining parts of these Terms and the remainder of the affected provision shall be unaffected.
37. These Terms are subject to the laws and exclusive jurisdiction of the English Courts.
